MSELECT is looking to hire a Paralegal Lawyer for an international industrial client in Baghdad, minimum of 3 years’ experience in corporate law, fluency in English and Arabic is a must

Job Purpose

Assist to protect company’s interests of business operations and developments in Iraq by ensuring compliance with laws and regulations and company Group policies and procedures by all company entities of all business lines products throughout the country


  • Protection of assets (fixed, current and IP rights) advises the company management on the required actions to protect the assets and help implement such actions) Legal Counsel is supporting the legal team in performing this task and is responsible specifically for LH entities in Kurdistan Region and take actions to protect their assets such as lands, buildings, equipment, IP rights etc.
  • Develop Country Shared Folder and Group Legal Portal as key resource for sharing of information and know-how, consult local Company lawyers where possible before having recourse to external lawyers, Hold regular meetings with other Company lawyers on a country/regional basis

Tax issues

  • Filing annual FS of the LH entities
  • Obtain Tax clearance for the LH entities
  • Coordination with HR to apply quarterly tax deduction form, 4 times in a year
  • Submitting objection to the Tax authorities about the tax calculation and estimation

Land Management

  • Keeping record of all purchased lands, lease and quarry

Filling and Documentation

  • Recording hard copies of all company’s communication

Contract management

  • Review contract and given legal imputes to the purchasing, supply chain, transportation and sales departments
  • Review and validating all procurement contracts regularly and on daily basis
  • Validating sales deals and costumer’s agreement
  • Validating customer credit application in the legal perspective
  • Keeping records of all signed agreement and contracts in the legal department

Updating files of the LH registered entities in Roc Department

  • Regularly filling annual Invitation, MoM and shareholders resolution for the LH in North and submitting to the RoC for ratification
  • Preparing the necessary documents to change the CEO/ DM of the LH entities
  • Performing annual office inspection
  • Applying for the certified copy of the LH entities on monthly basis

Obtain licenses, permits and authorizations

  • Obtain import license for the LH entities on annual bases
  • Obtain special approval permit for importing radiation Sources from High Intelligence Authority and Environment Board in KRG and Iraq
  • Obtain permit to create a company’s stamp, new projects, and new regulation and internal polices such as disciplinary rules H&S Sanction and Reward, etc.

Registering Asset Pledge (movable and Immovable)

  • Registering all mortgage of the customers in the Real Estate Department

Support community in solving land, water and community problems

  • Preparing and review community contract for purchasing land, lease agreement, donation etc.
  • Attending meetings related to the communities’ problem and legally supporting public affairs and community manager

Supporting HR in employment and labor issues

  • Review and validating employment contract
  • Given legal advises on the employment issues such as leave, sick leave, retirement, termination and disciplinary action etc.


  • Bachelor degree in law
  • 3 years of experience in corporate law with international business sector
  • English and Arabic languages are needed
  • Work under pressure with priorities and reschedules if necessary
  • Be adaptable by responding positively to the changing circumstances
  • Identify, analyze and resolve
  • Present and share legal information clearly and precisely 
  • Be creative and innovative to offer solutions sharing options and alternatives
  • Ask questions, research to understand the task, project, its impact on business
  • Negotiate and mediate to help find best compromise between business needs and mandatory legal requirements

  • Manage finance (budget prepare and present financial statement as required)
  • Practice continuous improvements by regularly reviewing documents and processes and based on external and internal feedbacks
  • Manage project by planning, delegating, monitoring and managing key milestone
